1. Definitions

1.1 “Marsden Makes Co.”, “we”, “us” and “our” refers to Marsden Makes Co.

1.2 “Client” refers to any individual, business, organisation or entity purchasing products or services.

1.3 “Services” refers to branding, graphic design, creative consultancy, design days, exhibition design, wedding stationery, marketing materials and any other services offered.

1.4 “Products” refers to personalised gifts, custom clothing, printed items and any physical goods supplied.

1.5 “Website” refers to the Marsden Makes Co. website and associated pages.

2. Website Use

2.1 The content of this website is provided for general information purposes only.

2.2 We reserve the right to amend, remove or update website content at any time without notice.

2.3 Users must not:

Use the website unlawfully / Attempt to gain unauthorised access / Introduce viruses or malicious code / Copy website content without permission / Misrepresent themselves when submitting enquiries

3. Quotations

3.1 All quotations are valid for 30 days unless otherwise stated.

3.2 Quotes may be revised if project requirements change.

3.3 Any additional work requested outside the original project scope may incur additional charges.

3.4 Acceptance of a quotation constitutes acceptance of these Terms & Conditions.

4. Deposits

4.1 Branding and design projects may require a non-refundable deposit before work commences.

4.2 Deposit amounts will be specified within quotations or proposals.

4.3 No work will begin until the required deposit has been received.

4.4 Deposits secure project scheduling and allocated studio time.

5. Payments

5.1 Clients agree to pay all invoices in accordance with the payment terms stated on the invoice.

5.2 Final files, artwork or deliverables may be withheld until full payment has been received.

5.3 Late payments may result in project delays.

5.4 We reserve the right to charge statutory interest and recovery costs on overdue invoices in accordance with UK legislation.

5.5 Ownership of work remains with Marsden Makes Co. until full payment has been received.

6. Project Timescales

6.1 Project timelines are estimates only.

6.2 Delays caused by the client may impact delivery dates.

6.3 Marsden Makes Co. shall not be held responsible for delays caused by:

Late client responses / Supplier delays / Printing delays / Delivery delays / Technical issues beyond our control / Illness or unforeseen circumstances

7. Client Responsibilities

7.1 Clients agree to provide accurate information, feedback and materials required for project completion.

7.2 Clients are responsible for ensuring supplied content is accurate and lawful.

7.3 Clients warrant that they own or have permission to use any:

Logos / Images / Text / Fonts / Trademarks / Intellectual property provided to Marsden Makes Co.

7.4 The client accepts full responsibility for any claims arising from materials supplied by them.

8. Proofing & Approvals

8.1 Clients are responsible for carefully reviewing all proofs before approval.

8.2 Approval confirms acceptance of:

Spelling / Grammar / Layout / Colours / Content / Contact details

8.3 Once approval has been given, Marsden Makes Co. accepts no responsibility for errors identified afterwards.

8.4 Corrections requested after approval may incur additional charges.

9. Revisions

9.1 Projects include the number of revisions specified within the package or proposal.

9.2 Additional revisions may be charged separately.

9.3 Revisions must remain within the agreed project scope.

9.4 Significant changes may be treated as a new project.

10. Design Service

10.1 Marsden Makes Co. provides creative services based on professional experience and industry knowledge.

10.2 Design is subjective and creative outcomes may involve professional interpretation.

10.3 While every effort is made to meet objectives, no guarantee is provided regarding commercial success, sales performance, brand growth or business outcomes.

11. Branding Packages

11.1 Branding packages are tailored to individual clients.

11.2 Branding deliverables may vary according to the package purchased.

11.3 Final branding assets will be supplied in agreed formats.

11.4 Clients are responsible for trademark searches and legal registration of business names, logos and branding elements.

11.5 Marsden Makes Co. does not provide trademark, legal or intellectual property advice.

12. Design Days

12.1 Design Day bookings reserve dedicated studio time.

12.2 Work not completed within the booked time may require additional sessions.

12.3 Design Day bookings may be rescheduled with reasonable notice.

12.4 Missed bookings or cancellations may be subject to fees.

13. Print Service

13.1 Marsden Makes Co. may arrange printing through third-party suppliers.

13.2 Colours displayed on screens may differ from printed results.

13.3 Minor colour variations shall not constitute defects.

13.4 We are not responsible for delays caused by printers, couriers or manufacturers.

13.5 Clients are encouraged to request printed proofs where available.

14. Personalised Products

14.1 Personalised products are produced according to customer instructions.

14.2 Customers are responsible for ensuring submitted names, wording, dates and information are correct.

14.3 Production may commence immediately after order confirmation.

14.4 Due to their customised nature, personalised products may not be eligible for return except where legally required.

15. Custom Clothing

15.1 Customers are responsible for selecting correct garment sizes.

15.2 Size charts should be reviewed before ordering.

15.3 Slight variations in garment colour, placement or production methods may occur.

15.4 Washing instructions must be followed to maximise product lifespan.

15.5 We cannot guarantee product longevity where care instructions have not been followed.

16. Delivery

16.1 Delivery estimates are provided in good faith.

16.2 Delivery dates are not guaranteed.

16.3 Risk transfers to the customer upon delivery.

16.4 Customers must provide accurate delivery details.

16.5 Additional delivery charges may apply where incorrect information has been supplied.

17. Intellectual Property

17.1 All concepts, drafts, designs and creative work remain the intellectual property of Marsden Makes Co. until paid for in full.

17.2 Unused concepts remain the property of Marsden Makes Co.

17.3 Clients may not reproduce, modify, sell or distribute unpaid work.

17.4 Marsden Makes Co. reserves the right to display completed work within:

Portfolio materials / Website galleries / Social media / Marketing materials / Award submissions

unless otherwise agreed in writing.

18. Client Intellectual Property

18.1 Clients retain ownership of content supplied by them.

18.2 Clients grant Marsden Makes Co. permission to use supplied content solely for project delivery.

18.3 Clients warrant they have appropriate rights to all supplied materials.

19. Confidentiality

19.1 Confidential information disclosed during projects shall be treated confidentially.

19.2 Confidential information will not be shared except where legally required.

19.3 This obligation survives project completion.

20. Cancellations

20.1 Cancellation requests must be submitted in writing.

20.2 Deposits are non-refundable unless otherwise agreed.

20.3 Work completed prior to cancellation remains payable.

20.4 Marsden Makes Co. reserves the right to invoice for work undertaken up to the cancellation date.

21. Refusal of Service

21.1 We reserve the right to refuse or terminate services where:

Abusive behaviour occurs / Illegal content is requested / Payment obligations are not met / Requests conflict with our values or professional standards

22. Limitation of Liability

22.1 To the fullest extent permitted by law, Marsden Makes Co. shall not be liable for:

Loss of profits / Loss of revenue / Loss of business opportunities / Indirect losses / Consequential losses / Reputation damage / Data loss

22.2 Our total liability shall not exceed the amount paid by the client for the relevant product or service.

22.3 Nothing in these Terms excludes liability that cannot legally be excluded.

23. Force Majeure

23.1 We shall not be liable for failure to perform obligations where circumstances are beyond our reasonable control including:

Natural disasters / Fire / Flood / Power failures / Internet outages / Industrial disputes / Government restrictions / Serious illness

24. Third-Party Services

24.1 We may recommend third-party suppliers.

24.2 Recommendations do not constitute guarantees.

24.3 Contracts with third-party providers remain between the client and provider.

25. Complaints

25.1 Any concerns should be raised promptly.

25.2 We will make reasonable efforts to resolve complaints fairly and professionally.

26. Severability

26.1 If any provision is deemed unenforceable, the remaining provisions shall remain in force.

27. Governing Law

27.1 These Terms & Conditions shall be governed by the laws of England and Wales.

27.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

28. Changes to These Terms

28.1 We reserve the right to update these Terms & Conditions at any time.
